若您代表公司、组织或其他法律实体（下称"实体"）使用本服务，您声明已获得充分授权代表该实体同意受本协议约束，且该实体同意对您及您下属员工的行为承担连带责任。
1.3 协议接受机制​
您通过点击"同意"或类似按钮，或继续使用服务，即表示接受本协议。若您不同意本协议的任何内容，请立即停止使用服务。
1.4 条款更新机制​
我们保留随时修改本协议的权利。协议更新后，我们将在本页面更新最后修订日期。您继续使用服务即表示接受所有修订。若不同意修改，您必须停止使用服务。我们鼓励您定期查阅本协议以了解最新变化。

3.1 资格要求​ 您须为年满18周岁且具有完全民事行为能力的自然人，或合法注册的法人实体。未经父母或监护人同意，未成年人不得使用本服务。
3.2 账户安全全责​ 您须通过真实信息注册并妥善保管账户凭证（密码、验证码）。任何通过您账户发起的操作均视为您本人行为，由此产生的全部责任由您独立承担。发现未授权访问应立即通知我们（邮箱：legal@ggfair.com）。
3.3 身份验证权​ 为合规及安全目的，我们可能要求您完成额外身份验证（如手机号绑定、证件核实）。拒绝提供可能导致功能限制或账户冻结。
3.4 账户终止​ 我们有权因您违反本协议而暂停或终止您的账户。账户终止后：①您访问服务的权限立即停止；②我们可永久删除相关数据（法律要求保留的除外）；③未结清的费用（如有）仍需支付。

您承诺遵守服务所在地法律法规，并严格禁止以下行为：
4.1 禁止非法内容
• 违反公序良俗或法律的内容（如仇恨言论、暴力煽动、恐怖主义关联内容）
• 侵犯第三方权利的内容（如盗版软件、假冒商品、隐私窃取工具）
• 欺诈性信息（如伪造资质、虚假促销、网络钓鱼链接）
• 违禁品交易：包括但不限于武器、弹药、毒品、濒危物种制品、人体器官等

4.2 禁止滥用行为
• 自动化访问（爬虫、机器人）除非获得我们书面授权
• 干扰服务正常运行（DDoS攻击、垃圾邮件群发、漏洞恶意利用）
• 规避收费机制或访问控制
• 操纵平台系统（虚假交易、刷好评、恶意点击）

4.3 禁止有害商业实践
• 传销、金字塔骗局、庞氏骗局等非法营销模式
• 未披露的付费推广或虚假流量交易
• 恶意贬损竞争对手的商业信誉

4.4 特别限制品类​
严禁交易《禁止清单》明示的违禁品（如武器、弹药、毒品、濒危物种制品、人体器官）。该清单为我们单方不定时更新，您有义务定期查阅。

5.1 用户内容许可​ 您保留对发布内容的所有权。为运营服务之必要，您授予我们全球性、免许可费的非独家许可，允许我们使用、复制、修改、分发、公开展示您的内容（限于服务范围内）。该许可在我们删除内容或您关闭账户后终止。
5.2 平台权利保留​ 本服务涉及的软件、算法、界面设计、数据库、商标（"GGfair"及相关图形标识）均为我们或授权方财产，受知识产权法保护。未经事先书面同意，不得复制、反向工程或创建衍生作品。
5.3 侵权投诉机制​ 若您认为平台内容侵犯您的知识产权，请按以下格式向指定代理方提交书面通知（内容要求：含侵权描述、权属证明、联系方式及诚信声明）。邮箱：legal@ggfair.com。处理时限：我们将在收到合格投诉后15个工作日内初步响应。

6.1 不保证条款​ 服务按"现状"和"可用"提供。在法律允许的最大范围内，我们明确否认所有明示或暗示的保证，包括但不限于适销性、特定用途适用性、权利完整性及不侵权保证。
6.2 责任上限​ 我们及关联方对因使用服务引发的任何间接、附带、惩罚性损害（如利润损失、数据丢失、商誉损害）不承担责任。即使已被告知可能发生此类损害，我们在本协议下的全部责任不超过以下较高者：①100美元；或②您过去12个月内向我们支付的费用总额。
6.3 不可抗力​ 对于因超出我们合理控制范围的事件（如自然灾害、战争、政府管制、大规模网络攻击）导致的服务中断或履行延迟，我们不承担责任。
6.4 风险自担​ 您理解并同意：使用服务的所有风险由您自行承担。我们不对用户间交易的安全性、合法性或满意度作任何保证。

您同意赔偿GGfair、其关联方及员工，使其免受因以下原因引起的任何第三方索赔、损害、损失及费用（含合理律师费）：
7.1 您违反本协议的任何约定；
7.2 您侵犯任何第三方的合法权益（包括但不限于知识产权、隐私权）。

8.1 用户终止​ 您可随时停止使用服务（通过账户关闭功能或书面通知）。
8.2 平台终止权​ 我们可因合理理由（包括但不限于您发布违法信息、侵犯他人知识产权、从事欺诈活动）立即暂停或终止服务，无需提前通知。
8.3 终止效力​ 协议终止后：①您访问和使用服务的权利立即终止；②我们将根据我们的《隐私政策》处理您的个人信息，法律法规另有规定的除外；③ 条款存续：本协议中依其性质应当存续的条款（包括但不限于知识产权、免责声明、赔偿、法律适用与争议解决）继续有效。

9.1 管辖法律​ 本协议的解释、效力及执行均适用美国加利福尼亚州法律（不适用其冲突法规范）。
9.2 争议解决​ 因本协议引起或相关的任何争议，双方应首先通过友好协商解决。协商不成的，双方特此同意将争议提交美国仲裁协会（AAA）按照其商业仲裁规则进行具有约束力的仲裁。仲裁地为加利福尼亚州洛杉矶市，语言为英语。仲裁裁决为终局裁决，对双方均有约束力。
9.3 集体诉讼弃权​ 您同意仅以个人身份参与仲裁，不得以集体诉讼、联合诉讼或代表诉讼方式解决争议。
9.4 例外情形​ 尽管有前述约定，对于侵犯或滥用我们知识产权的行为，我们有权寻求禁令救济或其他必要法律救济于任何有管辖权的法院。

10.1 可分割性​ 若本协议的任何条款被有管辖权的司法机关认定为无效、非法或不可执行，该条款的无效性、非法性或不可执行性不影响本协议其余条款的效力。
10.2 不可抗力​ 对于因超出我们合理控制范围的事件（如自然灾害、战争、暴动、网络攻击、政府行为）导致的服务中断或履行延迟，我们不承担责任。
10.3 转让限制​ 您不得转让本协议项下的任何权利或义务。我们可在通知您后，将本协议整体转让给我们的关联公司，或因合并、分立或出售全部或实质上全部资产而承继我们业务的第三方。本协议对双方及其合法的继受者和受让人均具有约束力。
10.4 完整协议​ 本协议及其明确引用的文件（包括但不限于《隐私政策》和《使用条款》）构成双方就协议标的事项所达成的完整协议，并取代所有先前的口头或书面的沟通、陈述、保证及约定。

1.1 Binding Agreement​This Terms of Use and Service Agreement (the "Agreement") is a legal contract between you (the "User," as an individual or on behalf of an entity) and GGfair Platform ("we," "us," or "our"). Accessing, browsing, or otherwise using the services provided by GGfair (including the website, mobile applications, and related services, collectively referred to as the "Services") constitutes your acknowledgment that you have read, understood, and agreed to be bound by this Agreement and our updated Privacy Policy and Terms of Use and Service Agreement.
1.2 Entity Representation​If you are using the Services on behalf of a company, organization, or other legal entity (the "Entity"), you declare that you are fully authorized to bind the Entity to this Agreement, and the Entity agrees to be jointly liable for the actions of you and your subordinates.
1.3 Acceptance Mechanism​By clicking "Agree" or a similar button, or by continuing to use the Services, you accept this Agreement. If you do not agree to any part of this Agreement, you must immediately cease using the Services.
1.4 Amendment Mechanism​We reserve the right to modify this Agreement at any time. When updates are made, we will update the "Last Updated" date on this page. Your continued use of the Services constitutes acceptance of all revisions. If you do not agree to the amendments, you must stop using the Services. We encourage you to periodically review this Agreement to stay informed of changes.

2.1 Nature of Services​GGfair is a neutral technology platform that provides users with product/service information publishing, browsing, and communication facilitation through information architecture and algorithmic tools. We do not produce content, participate in transactions, or assume responsibility for the authenticity of information.
2.2 Clarification of Platform Role (Core Disclaimer)​

• • Non-Transaction Party: We are not the seller, buyer, carrier, or guarantor of any transaction. All negotiations, performance, and after-sales activities between users are unrelated to us.
• • Information Channel: We merely provide information storage and transmission services and make no express or implied warranties regarding the accuracy, legality, or timeliness of user-generated content (UGC).
• • Exclusion of Liability: Any disputes arising from transactions (e.g., product mismatch, non-delivery after payment, quality defects) shall be resolved solely between users. We have no obligation to mediate and assume no joint liability.

2.3 Service Availability and Modifications​We make commercially reasonable efforts to ensure continuous service availability but do not guarantee uninterrupted, error-free, or completely secure Services. We reserve the right to modify or terminate all or part of the Services at any time without liability.

3.1 Eligibility Requirements​You must be a natural person at least 18 years of age with full civil capacity or a legally registered entity. Minors may not use the Services without parental or guardian consent.
3.2 Full Responsibility for Account Security​You must register with authentic information and safeguard your account credentials (password, verification codes). Any operations initiated through your account will be deemed your own actions, and you assume full responsibility for all resulting liabilities. Unauthorized access must be immediately reported to us (email: legal@ggfair.com).
3.3 Right to Identity Verification​For compliance and security purposes, we may require additional identity verification (e.g., mobile number binding, document verification). Refusal to provide such information may result in restricted functionality or account suspension.
3.4 Account Termination​We reserve the right to suspend or terminate your account for violations of this Agreement. Upon termination:① Your access to the Services ceases immediately;② We may permanently delete related data (except as required by law);③ Any outstanding fees (if applicable) must be paid.

You agree to comply with all applicable laws and strictly prohibit the following:
4.1 Prohibited Illegal Content​
• Content violating public order or laws (e.g., hate speech, incitement to violence, terrorism-related content);
• Content infringing third-party rights (e.g., pirated software, counterfeit goods, privacy-violating tools);
• Fraudulent information (e.g., forged qualifications, false promotions, phishing links);
• Prohibited Item Transactions: Including but not limited to weapons, ammunition, drugs, endangered species products, human organs, etc.
4.2 Prohibited Abuse of Services​
• Automated access (crawlers, robots) without our written authorization;
• Disrupting Service operations (e.g., DDoS attacks, spam distribution, malicious exploitation of vulnerabilities);
• Circumventing fee mechanisms or access controls;
• Manipulating platform systems (e.g., fake transactions, review manipulation, malicious clicking).
4.3 Prohibited Harmful Commercial Practices​
• Illegal marketing models (e.g., pyramid schemes, Ponzi schemes);
• Undisclosed paid promotions or fake traffic transactions;
• Malicious defamation of competitors' business reputation.
4.4 Specifically Restricted Categories​Transactions involving items explicitly listed in the Prohibited List (e.g., weapons, ammunition, drugs, endangered species products, human organs) are strictly forbidden. This list is updated unilaterally by us, and you are obligated to review it periodically.

5.1 User Content License​You retain ownership of published content. For operational necessity, you grant us a global, royalty-free, non-exclusive license to use, reproduce, modify, distribute, and publicly display your content (within the scope of the Services). This license terminates upon content deletion or account closure.
5.2 Reservation of Platform Rights​The software, algorithms, interface designs, databases, and trademarks ("GGfair" and related logos) associated with the Services are our property or that of our licensors, protected by intellectual property laws. Without prior written consent, you may not copy, reverse engineer, or create derivative works.
5.3 Infringement Reporting Mechanism​If you believe platform content infringes your intellectual property rights, submit a written notice to our designated agent (email: legal@ggfair.com) containing:
• Description of infringement;
• Proof of ownership;
• Contact information;
• Statement of good faith.We will provide an initial response within 15 business days of receiving a qualified notice.

6.1 No Warranty Clause​The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, title, and non-infringement.
6.2 Liability Cap​We and our affiliates are not liable for any indirect, incidental, punitive damages (e.g., lost profits, data loss, reputational harm) arising from the use of the Services. Our total liability under this Agreement shall not exceed the greater of:① $100; or② The total fees paid by you to us in the past 12 months.
6.3 Force Majeure​We are not liable for Service interruptions or delays caused by events beyond our reasonable control (e.g., natural disasters, war, government actions, large-scale cyberattacks).
6.4 Assumption of Risk​You understand and agree that all risks associated with using the Services are borne solely by you. We make no warranties regarding the security, legality, or satisfaction of transactions between users.

You agree to indemnify GGfair, its affiliates, and employees from any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
7.1 Your breach of any provision of this Agreement;
7.2 Your infringement of any third party's legal rights (including but not limited to intellectual property or privacy rights).

8.1 User Termination​You may cease using the Services at any time (via account closure or written notice).
8.2 Platform Termination Rights​We may suspend or terminate the Services immediately for reasonable cause (e.g., illegal content, intellectual property infringement, fraudulent activities) without prior notice.
8.3 Effects of Termination​Upon termination:
① Your right to access and use the Services ceases immediately;
② We will process your personal information per our Privacy Policy, unless otherwise required by law;
③ Surviving Provisions: Clauses intended to survive termination (e.g., intellectual property, disclaimers, indemnification, governing law, dispute resolution) remain in effect.

9.1 Governing Law​The interpretation, validity, and enforcement of this Agreement shall be governed by the laws of California, USA​ (excluding its conflict of laws principles).
9.2 Dispute Resolution​Any disputes arising from this Agreement shall first be resolved through good-faith negotiations. If unresolved, both parties agree to submit the dispute to binding arbitration​ administered by the American Arbitration Association (AAA)​ under its Commercial Arbitration Rules. The arbitration shall be conducted in Los Angeles, California, in English. The arbitral award is final and binding on both parties.
9.3 Class Action Waiver​You agree to resolve disputes solely on an individual basis and waive the right to participate in class, collective, or representative actions.9.4 Exceptions​Notwithstanding the above, we reserve the right to seek injunctive relief or other necessary legal remedies in any competent court for intellectual property infringement or misuse.

10.1 Severability​If any provision of this Agreement is deemed invalid, illegal, or unenforceable by a competent judicial authority, such provision shall be limited or excluded to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
10.2 Force Majeure​We are not liable for Service interruptions or delays caused by events beyond our reasonable control (e.g., natural disasters, war, riots, cyberattacks, government actions).
10.3 Assignment Restrictions​You may not assign any rights or obligations under this Agreement. We may assign this Agreement in its entirety to an affiliate or a successor in connection with a merger, division, or sale of substantially all assets, upon notice to you. This Agreement binds both parties and their lawful successors and assignees.
10.4 Entire Agreement​This Agreement, along with its explicitly referenced documents (including but not limited to the Privacy Policy​ and Terms of Use), constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior oral or written communications, representations, warranties, and agreements.
